Standard Terms and Conditions

The Facilities Procurement Office has developed Model Contract Documents containing standard terms and conditions that are used when contracting for various types of design, construction, and related services.  Solicitations issued by the Facilities Procurement Office specifically identify which Model Contract Document will be used for the award. Suppliers may download and review the terms and conditions contained in the applicable Model Contract Document from the following list:

Architect-Engineer Design Services Contract
This contract is used when contracting with Architect-Engineers specifically for design services.  Professional Services Contracts may be used in lieu of this form of contract when contracting with Architect-Engineers for other than design services or for smaller-scale design projects.
 
Professional Services Contracts
These contracts are used when directly contracting with independent contractors, consultants, or other licensed professionals (individuals or firms) for their professional services associated with design or construction projects.  Professional Services Contracts may be used in lieu of the A-E Design Services Contract when contracting with Architect-Engineers for other than design services or for smaller-scale design projects.  There are two forms of Professional Services Contracts, Fixed Fee and Hourly Not-to-Exceed, that may be used depending on the circumstances of the procurement.
 
Basic Ordering Agreements (BOA)
BOA's establish pricing, terms, and conditions for a discrete scope of services that are used to facilitate expedited ordering of services as needs arise during a term specified in the BOA.  Services are subsequently ordered by the issuance of individual Release Orders.  There are two forms of Basic Ordering Agreements, Construction Services and Professional Services, that may be used depending on the nature of the services to be performed.  The Professional Services Basic Ordering Agreement will be used when entering into such agreements with Architect-Engineers. 

Preconstruction Services Contract
This contract is used when contracting with Construction Managers to provide cost estimating, value engineering, constructability, scheduling and other services during the phases preceding the construction phase of a project.
 
Construction Contracts
These contracts are used when contracting with Construction Managers, General Contractors, or Specific Trades to provide construction or related services.  There are four forms of Construction Contracts that may be used depending on the circumstances of the procurement: Fixed-Price (FP), Cost Plus Fixed Fee (CPFF) , Time and Materials (T&M), and Guaranteed Maximum Price (GMP).
 
General Terms and Conditions for Construction Contracts
The Facilities Procurement Office maintains a portfolio of General Terms and Conditions that are tailored to apply to the various forms of Construction and Preconstruction Services Contracts described above.  The applicable General Terms and Conditions are embedded with the Master Construction Contract Documents.  The General Terms and Conditions may be incorporated by reference in Construction Orders or other short-form procurement instruments and the full text can be viewed here.
